Basic Approach

Basic Policy

  • Securing rights and equal treatment of shareholders

    The Company respects shareholder rights, secures the equal treatment of shareholders, and works to develop an environment in which all shareholders can exercise their rights appropriately.

  • Appropriate cooperation with stakeholders other than shareholders

    In accordance with the Tsurumi Group Code of Conduct, the Company endeavors to maintain and strengthen relationships of trust with all stakeholders (customers, suppliers, employees, local communities, and other parties).

  • Ensuring appropriate information disclosure and transparency

    Along with proper disclosure of information required by laws and regulations, the Company strives to proactively disclose information beyond that required by laws and regulations to ensure transparency.

  • Responsibilities of the Board of Directors

    The Board of Directors strives to appropriately fulfill its roles and responsibilities to ensure transparent, fair, and agile decision-making.

  • Dialogue with shareholders

    The Company works to share the direction of plans for long-term, stable growth and engage in constructive dialogue with shareholders.

    The Company strives to effectively secure shareholder rights by developing an environment in which all shareholders can exercise their rights appropriately.

    From the perspective of fully ensuring equal treatment of shareholders, the Company gives due consideration to effectively protecting the rights of minority shareholders and other shareholders, creating an environment in which they can appropriately exercise their rights and securing their substantive equality.

  • Appropriate cooperation with stakeholders other than shareholders

    The Company endeavors to build good relationships and cooperate appropriately with all stakeholders, including not only shareholders but also customers, business partners, society, and employees, with the aim to achieve sustainable growth within the Company and enhance corporate value over the medium to long term.

    Taking into account the rights, positions, and interests of stakeholders, the Company ensures cooperation with stakeholders by formulating, adhering to, and implementing the Code of Conduct.

  • Ensuring appropriate disclosure and transparency

    In compliance with applicable laws and regulations and the Securities Listing Regulations established by the Tokyo Stock Exchange, the Company discloses material facts in a timely and appropriate manner.

    The Company discloses information that is useful to its stakeholders, including shareholders, customers, business partners, society, and investors in a fair, timely, and appropriate manner.

  • Responsibilities of the Board of Directors

    In light of its fiduciary responsibilities and accountabilities to shareholders, our Board of Directors works to properly fulfill its roles and responsibilities outlined below in order to promote sustainable growth within the Company and enhance corporate value over the medium to long term, as well as to improve earning power, capital efficiency, and other metrics. These roles and responsibilities shall be equally and appropriately fulfilled regardless of the form of corporate organization.

    Setting a broad direction for corporate strategy;

    Establishing an environment where appropriate risk-taking by senior management is supported; and

    Carrying effective oversight of management (including executive officers) and directors from an independent and objective standpoint.

    In order to contribute to sustainable growth and the enhancement of corporate value over the medium to long term, the Company is committed to maintaining constructive dialogue with shareholders through a wide variety of opportunities.

  • Supplementary provisions

    The Board of Directors shall decide on the establishment, revision, and abolishment of this Basic Policy.
